1During the quarter DGR Global Ltd advanced $119k to Aus Tin Mining Limited for operating costs by way of a loan. The loan is unsecured and accrues interest at the rate charged by the bankers for Aus Tin on any overdraft accommodation for an amount of $100,000 or more (currently 3.86%p.a.) and shall be capitalised and only repayable when the funding is repaid. The loan is repayable on the earlier of the completion of a successful capital raising event or 12 months.

Number of notes issued: 50,000,000 Issue price: Face value of $0.20 per convertible note Interest rate: 12% per annum Interest payments: Interest paid quarterly in arrears. Interest is payable as cash. Maturity date: 26 September 2020 Conversion terms: Convertible at any time at the Convertible Note holder’s election into one ordinary share in DGR based on a price of $0.20 per share, subject to usual adjustment mechanisms in certain circumstances. As a result of the adjustment mechanism the fixed-for-fixed test is not met therefore the convertible notes are carried at fair value through profit or loss. Security: Secured by DGR’s shareholding in IronRidge Resources.

Answer: No, the Company is implementing a range of measures in light of the Company’s treasury and as a response to the COVID-19 situation to reduce its cash expenditures.

Has the entity taken any steps, or does it propose to take any steps, to raise further cash to fund its operations and, if so, what are those steps and how likely does it believe that they will be successful?

Answer: Yes, as announced 28 April 2020, the Company is undertaking a fully underwritten accelerated non-renounceable rights issue to raise approximately $5.67 million (before costs). Due to the underwritten nature of the rights issue the Company is extremely confident this raising initiative will be successful.

Does the entity expect to be able to continue its operations and to meet its business objectives and, if so, on what basis?

Answer: Yes, for the reasons outlined in Questions 1 and 2, the Company expects to have further working capital in due course via the successful closing of the rights issue. Additionally, the Company has the ability to sell down on its investments in listed entities and corporate bonds if and when required to meet certain cash flow requirements.
