Advance to SolGold Ahead of Open Offer Commitment
The Directors of DGR Global Limited (ASX: DGR) wish to advise that the Company has agreed to advance part of its overall financial commitment pledged to SolGold for its Open Offer, which was announced in London on 18 March 2015.
Pursuant to a loan agreement entered into today, DGR Global will make available to SolGold up to A$300,000 in short‐term debt funding. The principal terms of the loan are as follows:
Principal sum: A$300,000
Interest rate: 9.5% per annum
Term: The earlier of the closing of SolGold’s Open Offer or 30 June 2015.
Pursuant to SolGold’s Open Offer capital raising, DGR Global has committed to take up its full entitlement amounting to approximately A$527,000 and in addition has stated its intention to apply for approximately A$633,000 of excess shares (with allocation subject to the formula outlined in SolGold’s relevant documentation). Accordingly, it is intended by the parties that the A$300,000 loan be treated as an advance on DGR Global’s Open Offer commitment to SolGold, which will be converted into further shares in SolGold on the finalization of the Open Offer.
Brian Moller and Nicholas Mather are Directors of both SolGold and DGR Global. Accordingly, the loan (advance) was approved by the non‐conflicted Directors of DGR Global.
