Subject: Grant of stock options under the Employees Stock Option Scheme of Devyani International Limited ('Company')
Dear Sir/ Madam,
Pursuant to Regulation 30 read with Schedule III to the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('SEBI Listing Regulations'), we wish to inform that the Nomination and Remuneration Committee of the Board ('NRC') at its meeting held today i.e. May 15, 2026, has approved the grant of 4,26,300 stock options under the Employees Stock Option Scheme 2021 ('ESOP 2021') of the Company.
The detailed disclosure as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, is attached as Annexure I.
