Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 5, 2013, the Board of Directors (the “Board”) of Devon Energy Corporation (the “Company”) elected Dave Hager as Chief Operating Officer of the Company. Mr. Hager, 56, previously held the position of Executive Vice President Exploration and Production since he joined the Company in March 2009. From 2007 until joining the Company, Mr. Hager served as a member of the Board. From 1999 to 2006, he was employed by Kerr-McGee Corp., serving in various capacities, including most recently as chief operating officer.

There are no arrangements or understandings between Mr. Hager and any other person pursuant to which Mr. Hager was appointed as Chief Operating Officer of the Company. Mr. Hager is not related to any director or executive officer of the Company, and there are no transactions or relationships between the Company and Mr. Hager that are reportable under Item 404(a) of Regulation S-K.
