Die Deutsche Lufthansa Aktiengesellschaft (WKN 823210, Frankfurt) und ihr Star Alliance-Partner United Airlines haben ein Maßnahmenpaket beschlossen, das zur Unterstützung der kanadischen Fluggesellschaft Air Canada dient. Die Maßnahmen versetzen Air Canada in die Lage, ein feindliches Übernahmeangebot der Onex Corp. vom 24. August 1999 abzuwehren. Air Canadas Mitgliedschaft in der Star Alliance bliebe damit gesichert. Das Maßnahmenpaket hat einen Wert von C$ 730 Mio. Davon trägt Lufthansa C$ 290 Mio., von denen C$ 140 Mio auf den Erwerb von Air Canada-Wandelanleihen und C$ 150 Mio. auf Bürgschaften entfallen. Parallel dazu ist die Laufzeit der bestehenden Kooperationsverträge zwischen Lufthansa und Air Canada einheitlich bis zunächst 2009 verlängert worden. United Airlines hat vergleichbare Maßnahmen beschlossen. Das heute veröffentlichte Gegenangebot der Air Canada beinhaltet den Rückkauf eigener Aktien sowie den Erwerb einer Anteilsmehrheit an Canadian Airlines. Für den Fall, daß die Air Canada-Hauptversammlung wider Erwarten dennoch für das Onex-Angebot votiert, hat Air Canada sämtliche von Lufthansa und United Airlines bereitgestellten Beträge zurückzuzahlen. Deutsche Lufthansa AG (WKN – security identification number 823210, Frankfurt) and its Star Alliance partner United Airlines are putting a package of measures together in support of Air Canada. The measures will enable Air Canada to ward off the hostile takeover bid submitted by Onex Corporation on August 24 1999 and ensure the Canadian carrier’s continued membership of the Star Alliance. The measures are worth a total of C$ 730 million. Of the total, Lufthansa will put up C$ 290 million, C$ 140m of which will go towards the acquisition of convertible preferred shares in Air Canada. C$ 150m will be extended in the form of guarantees. Simultaneously, the term of the existing cooperation agreements between Lufthansa and Air Canada will be prolonged initially up to the year 2009. United Airlines has agreed on similar measures. The counter bid, announced by Air Canada today, envisages the repurchase of its own shares and the acquisition of a majority stake in Canadian Airlines. Should Air Canada’s Annual General Meeting vote contrary to expectations in favour of the Onex offer nonetheless, Air Canada is obliged to repay all the funds made available by Lufthansa and United Airlines.
