3 July 2024: De.mem Limited (ASX:DEM) (“De.mem” or “the Company”) advises that the Cleansing Notice issued by the Company on 2 July 2024 contained a minor typographic error.
A corrected Cleansing Notice, which replaces the Cleansing Notice issued on 2 July 2024, is attached.

Section 708A Cleansing Notice
3 July 2024: This notice is given by De. Mem Limited ( DEM or the Company) (ASX: DEM ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).
The Company hereby confirms that:

(a) The Company issued on 1 July 2024 a total of 1,100,917 Fully Paid Ordinary Shares ( Shares ) at an issue price of $0.109 (10.9 cents) per Share to the vendors of Auswater Systems Pty Ltd ( Auswater ) as part consideration for the acquisition of Auswater by the Company as announced on 3 June 2024;

(b) the Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

(c) the Company is providing this notice under paragraph 5(e) of section 708A of the Corporations Act;

(d) as at the date of this notice the Company, as a disclosing entity under the Corporations Act, has complied with:

(i) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

(ii) sections 674 and 674A of the Corporations Act;

(e) as at the date of this notice, there is no information that is “excluded information” (as defined in sections 708A(7) and 708A(8) of the Act) which is required to be disclosed by the Company.
