ASX RELEASE | De. Mem Limited (ASX:DEM)

Section 708A Cleansing Notice

21 August 2024: This notice is given by De. Mem Limited ( DEM or the Company) (ASX: DEM ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

The Company hereby confirms that:

• (a) The Company has today issued a total of 2,500,000 Fully Paid Ordinary Shares ( Shares ) at an issue price of $0.10 (10 cents) per Share to Non-Executive Directors, Cosimo Trimigliozzi (or his nominee(s)) and Mr Harry de Wit (or his nominee(s)), as approved at the Company’s Extraordinary General Meeting on 20 August 2024. The shares relate to a share placement announced by the Company on 5 June 2024;

• (b) the Shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act;

• (c) the Company is providing this notice under paragraph 5(e) of section 708A of the Corporations Act;

• (d) as at the date of this notice the Company, as a disclosing entity under the Corporations Act, has complied with:

  • (i) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • (ii) sections 674 and 674A of the Corporations Act;

• (e) as at the date of this notice, there is no information that is “excluded information” (as defined in sections 708A(7) and 708A(8) of the Corporations Act) which is required to be disclosed by the Company.
