Shareholder Approval Required for Performance Rights on Acquisition of High‐Grade US Uranium & Vanadium Project

TNT Mines Ltd (ASX: TIN) ( Company ) refers to its announcement today regarding the execution of a binding agreement to acquire Vanacorp Aust Pty Ltd and its wholly owned US subsidiary Vanacorp USA LLC, which owns a 100% interest in the East Canyon Uranium‐Vanadium Project located in the Dry Valley/East Canyon mining district of south eastern Utah, USA ( Acquisition ).

In consideration for the Acquisition, the Company proposes to issue 2,500,000 fully paid ordinary shares ( Consideration Shares ) and a total of 2,750,000 performance rights ( Performance Rights ) to the vendor, subject to the satisfaction (or waiver) of all conditions precedent pertaining to the Acquisition.

The announcement stated that the Consideration Shares and Performance Rights will be issued at settlement of the Acquisition, under the Company’s existing placement capacity pursuant to ASX Listing Rule 7.1 ( Placement Capacity ).

This statement is incorrect as the Performance Rights cannot all be issued under the Company’s existing Placement Capacity.

The Company advises and confirms that the Consideration Shares will be issued at settlement under the Company’s existing Listing Rule 7.1 Placement Capacity, with the Performance Rights to be issued as a condition subsequent to settlement, subject to shareholder approval at a general meeting of shareholders to be held in June 2020.

The previous announcement remains accurate in all other respects.
