SUB: Disclosure under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 in relation to the Scheme of Amalgamation of Daman Entertainment Private Limited and Daman Hospitality Private Limited with Delta Corp Limited and their respective shareholders

Pursuant to our intimation letter April 11, 2022 informing you about the Board of Directors (“ Board ”) approving the Scheme of Amalgamation in its meeting held on Monday, April 11, 2022, we are pleased to inform you that the Hon'ble National Company Law Tribunal (“ Tribunal ”), Mumbai Bench vide its order dated September 29, 2022 received on November 10, 2022 (“ Mumbai NCLT Order ”) has sanctioned the Scheme of Amalgamation of Daman Entertainment Private Limited (“ Transferor Company 1 ”) and Daman Hospitality Private Limited (“ Transferor Company 2 ”) with Delta Corp Limited (“ Company ” or “ Transferee Company ”) and their respective shareholders under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 (“ Scheme ”).

Since, the registered office of the Transferor Company 2 was situated in Daman which comes under the jurisdiction of the Hon’ble National Company Law Tribunal, Ahmedabad Bench and the said Bench has also sanctioned the scheme vide its order dated November 30, 2022 received on December 23, 2022 (“ Ahmedabad NCLT Order ”).

The Scheme has been made effective by the Company, Transferor Company 1 and the Transferor Company 2 today i.e. Tuesday, December 27, 2022 by filing the certified copy of the Mumbai and Ahmedabad NCLT Order with the jurisdictional Registrar of Companies.

A copy of the Mumbai NCLT Order and Ahmedabad NCLT Order issued by the Hon’ble Tribunal sanctioning the Scheme is available on the website of the Tribunal and the Company, respectively.
