Deliveroo plc (the "Company")

Block Listing Application

Deliveroo plc announces that an application has been made to the Financial Conduct Authority (the "FCA") and to London Stock Exchange plc (the "London Stock Exchange") on 27 September 2021 for a total of 42,879,676 class A shares of 0.5 pence each ("shares") to be admitted to the Official List. This is in addition to the balance of its existing block listings of 12,037,000 shares and 6,032,720 shares.

These shares are expected to be admitted to the Official List and to be available for trading on the London Stock Exchange on 30 September 2021.

The shares will be reserved under a block listing in connection with the following share plans: (i) share option contracts (17,720,072 shares); (ii) Restricted Stock Unit awards (24,981,604 shares); and (iii) the Free Share Plan in France (178,000 shares).

The shares will be issued from time to time on the exercise of vested options or vesting of shares under the share plans in (i), (ii) and (iii) above. When issued, these shares will rank pari passu with the existing Shares.
