Item 8.01. Other Events.

As of January 6, 2020, Delcath Systems, Inc. (the “Company”) had 68,556 shares of common stock, par value $0.01 per share (“Common Stock”) outstanding. This increase was due to the rounding up of fractional shares of Common Stock related to the Company’s previously disclosed recent reverse stock split as well as conversions of the Company’s Series E Preferred Stock and Series E-1 Preferred Stock into shares of Common Stock.
