1. The articles of the Corporation be amended to consolidate (the "Share Consolidation") all of the issued and outstanding Common shares ("Common Shares") of the Corporation on the basis of four (4) old Common Shares for one (1) new Common Share.

2. Any fractional Common Shares arising from the Share Consolidation be rounded down to the nearest whole Common Share.
