Sub: Intimation / Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”)

Pursuant to the Regulation 30 of the Listing Regulations, as amended, we wish to inform you that the Board of Directors of the Company at its meeting held today, i.e., Friday, February 09, 2024, has, inter-alia,:

1. Considered and approved continuation of directorship of Shri Pradip Kumar Daga (DIN: 00040692), aged 87 years as a Non-Executive Non-Independent Director of the Company, liable to retire by rotation with effect from 16[th] April 2024, subject to approval by the shareholders of the company by way of Special Resolution;

2. Considered and approved designation of Shri Pradip Kumar Daga as the Chairman Emeritus of the Company after end of his tenure as Chairman and Managing Director on 15.4.2024.

3. After expiry of tenure of Shri Pradip Kumar Daga as Chairman and Managing Director of the Company on 15[th] April 2024, the office of Shri Yashwant Kumar Daga, Joint Managing Director (Din: 00040632) remains the only office holding the position of Managing Director in the Company. The Board of Directors in its meeting held today considered and approved to re-designate Shri Yashwant Kumar Daga (DIN -00040632) from ‘Vice Chairman and Joint Managing Director’ to ‘Chairman and Managing Director’ subject to approval of shareholders by passing special resolution.

Disclosure as required under Regulation 30 of the SEBI Listing Regulations read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated 13th July, 2023, is given in Annexure A to this letter.

The meeting of the Board of Directors commenced at 4.00 p.m. and concluded at 4.50 p.m. This is for your information and records.
