Dear Sir/ Madam,

Pursuant to Regulation 29(1)(d) of the SEBI LODR Regulations, we wish to inform that a meeting of the Board of Directors of DEE Development Engineers Limited (the “ Company ”) is scheduled to be held on Friday, 19[th] September, 2025, interalia, to consider and evaluate the proposal for raising of funds by way of issuance of Equity Shares, Debt Securities and/or any Other Eligible Securities (Convertible/NonConvertible) through permissible modes, including but not limited to Private Placement, Preferential Allotment, Qualified Institutions Placement or through any other permissible mode and/or combination thereof as may be considered appropriate, subject to all such Regulatory / Statutory Approvals as may be required.

The Board would also consider convening an Extra-Ordinary General Meeting / Postal Ballot process to seek approval of the Shareholders in respect of the aforesaid proposal of fundraising, as required.

Further, the Trading Window for dealing in Equity Shares of the Company shall remain closed for the Designated Persons and their immediate relatives in terms of the provisions of SEBI (Prohibition of Insider Trading) Regulations, 2015 and the Code of Conduct of the Company for prevention of Insider Trading from 16[th] September, 2025 till 48 hours after the closure of the meeting to be held on 19[th] September, 2025.
