Regulated Information – Notification according to the Act of 2 May 2007 Under embargo until Friday 5 September 2014 at 5.45 p.m. CET

In accordance with the appropriate transparency legislation (Act of 2 May 2007) Deceuninck NV discloses that it received a notification dated 3 September 2014 from Francis Van Eeckhout on 4 September 2014. According to this notification Francis Van Eeckhout, Holve NV and Gramo BVBA own together 28,194,641 voting shares (21.02% of the total number of shares outstanding i.e. 134,133,289 shares) on 3 September 2014.

On 4 September 2014 Deceuninck received a joint notification from Desco STAK and Sofina NV dd. 3 September 2014. Desco STAK and Sofina NV are persons acting in mutual consultation. As a result of the enacting of the capital increase on 29 August 2014, Desco STAK and Sofina NV crossed the 35% proportion for disclosure. The number of voting shares Deceuninck NV held by Desco STAK remained unchanged at 18,856,250, however her proportional participation decreased to 14.06%. The number of voting shares Deceuninck NV held by Sofina NV increased to 23,461,513 as a result of which her participation remained at 17.49%.

Proportion for disclosure

According to the Articles of Association of Deceuninck NV and according to article 18 of the Act of 2 May 2007 regarding the disclosure of important shareholdings, the proportion for the disclosure of holding has been established at 3%.

This percentage applies notwithstanding the legal proportions of 5% and of each multiple of 5% (10%, 15%, 20%, etc.). For the purposes of article 545, paragraph 2, 1° of the Belgian Companies Code applies the proportion which is stated in the article as well as the proportion of 3% which is stated in Article 11 of the Articles of Association.
