• Sub: Outcome of Board Meeting held on 28[th] March 2024 commenced at 12:00 P.M. and ended at 1:00 P.M.

The Board of Directors of the Company at its meeting held on 28th March 2024, inter alia, have transacted the following items of business:

1. Took note of the sad demise of Mr. R. Gopalakrishnan (DIN: 00296413), NonIndependent and Non-Executive Director of the Company on 4th March 2024.

2. Took note of the appointment of Mr. P. S. Rao (DIN: 01220158) to the office of Independent Director of the Company for a period of 5 years effective 1st April 2024, by way of Special Resolution passed by the members through Postal Ballot process, which completed on 21st March 2024.

3. Appointed Mr. Rabindra Srikantan (DIN: 00024584) to the office of Additional Director (Independent category) of the Company effective 1st April 2024.

4. Approved the Calendar of Events and the Postal Ballot Notice seeking consent of the Shareholders by way of Special Resolution for the appointment of Mr. Rabindra Srikantan (DIN: 00024584) to the office of Independent Director of the Company for a period of 5 years effective 1st April 2024, and other matters related thereto.

5. Took note of the incorporation of DECCAN SWARNA CEMENTS PRIVATE LIMITED, a wholly owned subsidiary (WOS) company on 13th March 2024.
