Members are hereby informed that pursuant to Section 110 of the Companies Act. 20131the Act) and Rule 20 and 22 of Companies IManagement and Administration) Rules, 2014 read with General Circular Nos. 14/2020 dated April08, 2020,17/2020 dated April 13, 2020and 39/2020 dated December 31, 2020 issued by the Ministry of Corporate Affairs IMCA Circulars), Regulation 44 of SEBI llisting Obligations and Disclosure Requirements) Regulations 2015, and other applicable provisions of the Act, Rules, Regulations and Circulars, if any lincluding any statutory modifications or re-enactments thereof for the time being in Iorcel, the Company seeks their approval by way of Ordinary Resolution in respect of following special business through Postal Banot by remote e·voting process only:

Item No. 1: To approve Material Related Party Transactions with De Nora Italy S.r.1., Italy, upto a maximum aggregate value of Rs. 2,200 lakhs during the financial year 2021·22.

In accordance with'the MCA Circulars, the Company has on Tuesday, April 13, 2021, completed the dispatch of the Postal Ballot Notice dated April 08, 2021, only through electronic mode to all the members whose e-mail IOs were registered with the Company/Depositories as on Friday, April 9, 2021 I"Cut·off date"), The voting rights of members shaH be reckoned on the basis of equity shares held by them as on cut-off date. A person who is not a member as on cut·off date should treat the Notice for information purpose only. Physical copies of the Postal Ballot Notice, Form andpre-paid business reply envelopes are not being sent to members for this postal ballot and members can vote only through e·voting. The Company has appointed Central Depository Services IIndia) limited ICDSU as the agency to provide the e·voting facility. Members are requested to note that the remote e·voting shall commence from Monday, April 19, 2021 at 09.00 AM liST) and shall end on Tuesday, May 18,2021 at 5.00 PM liST). The a·voting portal shall be disabled by CDSl upon expiry of the aforesaid period.

A copy of Postal Ballot Notice is available on the Company's website india.denora.com, website of the stock exchange i.e. www.nseindia.com and on the website of CDSl at www.evotingindia.com. The instructions on the process of e·voting for members holding shares in dematerialized and physical form as well as members who have not registered their e·maillOs are provided in the Notice.

Members whose e·maillO is not registered with the Company/Depositories may register the same by completing the Process as under:

एमसीए परिपत्रकांनसार कंपनीने मंगळवार दि. १३ एप्रिल २०२१ ला शक्रवार दि. ९ एप्रिल २०२१ (''निर्णायक तारीख'') रोजीनसार या कंपनी/डिपॉजिटरीजकडे ज्या सदस्यांचे ई-मेल आयडी नोंदणीकृत होते त्या सर्व सदस्यांना केवळ इलेक्ट्रॉनिक मोडद्वारे टपाल मतपत्रिका सूचना दि. ०८ एप्रिल २०२१ पाठविणे पूर्ण केले आहे. सदस्यांच्या मतदान हकाची गणना त्यांनी निर्णायक तारखेनुसार धारण केलेल्या समभागाच्या आधारावर करण्यात येईल. निर्णायक तारखेनुसार सदस्य नसलेल्या व्यक्तीने ही सूचना केवळ माहितीच्या प्रयोजनाकरिता आहे असे समजावे. टपाल मतपत्रिका सूचनेच्या वास्तविक प्रती, फॉर्म आणि प्री-पेड बिजनेस रीप्लाय लिफाफे या टपाल मतपत्रिकेकरिता सदस्यांना पाठविण्यात येत नाहीत आणि सदस्य केवळ .
ई-मतदानाच्या माध्यमातून मतदान करू शकतील. कंपनीने सेंट्रल डिपॉजिटरी सर्व्हिसेस (इंडिया) लिमिटेड (सीडीएसएल)लाई-मतदानाची सुविधा पुरविण्यासाठी एजन्सी म्हणून नियुक्त केले आहे. सदस्यांना यांची नोंद घेण्याची विनंती करण्यात येते की सुदूर ई-मतदान सोमवार दि. १९ एप्रिल २०२१ ला सकाळी ०९.०० (भाप्रवे) पासन सरू होईल आणि मंगळवार दि. १८ मे २०२१ ला सायं, ५,०० (भाप्रवे) वाजता बंद होईल. .
हे ई-मतदान् पोर्टल उपरोक्त अवधी संपल्यावर सीडीएसएलद्वारे अक्षम (डिसेबल) करण्यात येईल.

टपाल मतपत्रिका सूचनेची प्रत कंपनीची वेबसाईट india.denora.com, स्टॉक एक्सचेंजची वेबसाईट अर्थात www.nseindia.com आणि सीडीएसएलची वैबसाईट www.evotingindia.com वर उपलब्ध आहे. अमृतं आणि वास्तविक स्वरूपातील भागधारक सदस्य तसेच ज्यांचे ई-मेल आयडी नोंदणीकृत नाहीत अशा सदस्यांकरिता ई-मतदानाच्या प्रक्रियेवरील सचना नोटीसमध्ये दिलेल्या आहेत.

ज्यांचा ई-मेल आयडी कंपनी/डिपॉजिटरीजकडे नोंदणीकृत नाही असे सदस्य खालीलप्रमाणे प्रक्रिया पूर्ण करून नोंदणी करू शकतात :
