2021 at 12:00 noon (IST) through Video Conferencing ("VC") / Other Audio Visual Means ("OAVM") facility to transact the businesses as set out in the Notice of the EGM which is being sent for convening the EGM of the Company.

In view of the COVID-19 pandemic and the need for ensuring social distancing, the Ministry of Corporate Affairs ("MCA"), Government of India, has allowed conducting EGM through VC or OAVM without the physical presence of Members at a common venue. Accordingly, MCA issued Circular No. 14/2020 dated April 08, 2020, Circular No.17/2020 dated April 13, 2020, Circular No. 20/2020 dated May 05, 2020 and Circular No. 39/2020 dated December 31, 2020 ("MCA Circulars"), prescribing the procedures and manner of conducting the EGM through VC/OAVM. Securities and Exchange Board of India ("SEBI") also vide its Circular dated May 12, 2020 and Circular dated January 15, 2021 ("SEBI Circular"), permitted holding of EGM through VC/OAVM. The Unaudited Consolidated and Standalone Financial Results for the Quarter and Nine months ended 31 December 2020 have been reviewed and recommended by the Audit Committee and approved by the Board of Directors at their meetings held on 25 January 2020.
