Sub: Intimation of allotment of Optionally Convertible Debentures on Preferential basis & Non-Convertible Debentures on Private Placement basis

This is with further reference to our letters dated November 24, 2020 and November 27, 2020, with respect to issuance of Optionally Convertible Debentures (OCDs) and Non- Convertible Debentures (NCDs) on preferential/ private placement basis.

We wish to inform you that the Committee of the Board of Directors of the Company at its meeting held today ie. March 5, 2021 has approved the allotment of 6,000 Secured Rated Unlisted Redeemable Optionally Convertible Debentures having face value of € 1,00,000/- each, at par, aggregating to % 60,00,00,000/- (Rupees Sixty Crores) on preferential basis to Kotak Special Situations Fund, on such terms and conditions as mentioned in the offer document.

Further, after completion of the above offer/issue, Committee of the Board of Directors of the Company at its meeting held today ie. March 5, 2021 has also approved the allotment of 35,000 Secured Unlisted Rated Redeemable Non- Convertible Debentures having face value of = 1,00,000 /- each, at par, aggregating to = 3,50,00,00,000/- (Rupees Three Hundred & Fifty Crores), on private placement basis to Kotak Special Situations Fund, on terms and conditions as mentioned in the offer document.
