Dear Sir,

This is in continuation of our earlier letter dated May 11, 2019 intimating you about receipt of certified true copy of order of Hon'ble National Company Law Tribunal, Principal Bench, New Delhi ('NCLT') dated May I, 2019 sanctioning the Scheme of Arrangement between DCM Limited ('Demerged Company') and DCM Nouvelle Limited ('Resulting Company') and their respective shareholders and creditors ('Scheme').

In this regard, we hereby inform you that the aforesaid scheme has become effective with effect from May 13, 2019on filing certified true copy of aforesaid order of Hon'ble NCLT with the Registrar of Companies, NCT of Delhi & Haryana by both the companies.

Kindly take the same on record and treat the same as compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended from time to time.
