Dear Sir/Madam,

Pursuant to Regulation 30 read with Schedule III of the Listing Regulations, we hereby inform you as under:

1. Retirement of Mr. Pradyumna Mishra, Group Chief Financial Officer of the Company at the close of business hours on March 31, 2023:

Mr. Pradyumna Mishra, Group Chief Financial Officer will be retiring from the services of the Company on attaining the age of superannuation at the close of business hours on March 31, 2023.

2. Appointment of Mr. Lalit Jain, as Chief Financial Officer of the Company w.e.f. April 1, 2023:

On the recommendation of the Nomination and Remuneration Committee and Audit Committee, the Board of Directors of the Company at its Meeting held today, i.e. on March 28, 2023 has approved the appointment of Mr. Lalit Jain as the Chief Financial Officer of the Company with effect from April 1, 2023 in place of Mr. Pradyumna Mishra who is retiring as the Group Chief Financial Officer of the Company.

Mr. Lalit Jain shall be a Key Managerial Personnel (KMP) of the Company who shall carry out the duties and responsibilities of the office of the Chief Financial Officer of the Company as envisaged under the Companies Act, 2013, the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and any other statutory requirements as may be applicable to the Company.

The details as required under the SEBI Listing Regulations read with SEBI Circular No. CIR/CFD/ CMD/4/2015 dated 9[th] September, 2015, are given in Annexure ‘A’ and Annexure ‘B’ attached to this letter.

Corp Ltd. he shouldered responsibilities of CFO of Shriram Fortune Solutions Ltd. (part of Shriram Group) for 5 years. He has been associated with Dainik Bhaskar group since almost 10 years and he is currently heading key functions of Finance & Accounts department of the company. Over these years, he has made significant contributions in dealing with Business heads, Group companies, Auditors and Legislative authorities, Taxation Departments, Buy back & strategy formulations and he is an enterprising leader with dynamic abilities in mentoring and motivating the team.
