VILLORBA (Treviso), 07 dicembre 2022 – DBA Group S.p.A., società specializzata nell'erogazione di servizi di Consulenza, Architettura, Ingegneria, Project Management e soluzioni ICT focalizzati sulla gestione del ciclo di vita di opere e infrastrutture mission-critical comunica che in data odierna ha ricevuto l'accettazione dell'offerta vincolante per l'acquisto del 100% delle quote della società di architettura e ingegneria General Planning S.r.l. con sede in Milano, Viale Liguria 24.

La proposta dell'offerta è avvenuta per il tramite della società operativa DBA PRO. S.p.A., interamente controllata da DBA Group S.p.A., a valle delle operazioni di Due Diligence e dell'approvazione dell'offerta da parte del CdA di DBA Group S.p.A., riunitosi in data 06 dicembre 2022, ed il closing dell'operazione avverrà in data 21 dicembre 2022.

I soci di General Planning Srl rimarranno attivi nella gestione della società, sotto il coordinamento di DBA Group e di DBA PRO. S.p.A.

Fondata nel 1970, General Planning Srl è una Società di Ingegneria indipendente, di Progettazione integrale coordinata, di project management e di consulenza con più di 50 anni di esperienza nella realizzazione di rilevanti progetti nei settori dell'industria e del Real Estate dallo studio di fattibilità fino ai collaudi finali di consegna delle opere. La strategia alla base dell'acquisizione

L'integrazione di General Planning Srl con la divisione Buildings di DBA PRO. S.p.A. creerà un team altamente specializzato, qualificato ed affidabile in grado di soddisfare le richieste dei clienti esistenti e di quelli futuri sia in campo nazionale che internazionale in un contesto di mercato in forte crescita.

Il Know How di DBA PRO. S.p.A. e quello di General Planning Srl risultano essere quindi in forte sinergia ed in grado di offrire un alto valore aggiunto a vantaggio dei Clienti. DBA PRO. S.p.A. ha sviluppato nel tempo numerose collaborazioni di rilievo nel campo Real Estate, di recente ha acquisito, ad esempio, il contratto per la ristrutturazione della sede Rai di Viale Mazzini a Roma in collaborazione con lo studio Citterio Viel1 . Le esperienze in house e le esperienze di General Planning Srl creano un bagaglio di referenze importanti al servizio del mercato di riferimento.

L'acquisizione, quindi, è tesa a i) rafforzare e completare l'offerta commerciale di DBA nei servizi di ingegneria e architettura, ii) potenziare i servizi rivolti al mercato del Real state e dell'healthcare, che registra importanti dati di crescita in Italia, iii) integrare il know how di General Planning Srl verso il portafoglio clienti DBA PRO. S.p.A. con specifiche necessità sulla progettazione di impianti industriali e farmaceutici.

General Planning Srl nel 2021 si è posizionata al 12° posto nella classifica Guamari2 delle Top 200 società di architettura in Italia. DBA Group nel 2021 si è posizionata al 6° posto nella classifica Guamari3 delle Top 200 società di ingegneria in Italia. La combinazione delle due realtà permetterà un'offerta integrata di alto livello nel panorama italiano ed internazionale.

Key Financials dell'acquisizione

General Planning Srl nel 2021 ha registrato un valore della produzione pari ad Euro 8,6 milioni ed un EBITDA pari ad Euro 1,2 milioni. L'utile netto dell'esercizio 2021 è stato pari ad Euro 0,7 milioni.

Il patrimonio netto di General Planning Srl al 31 dicembre 2021 ammonta ad Euro 2,0 milioni ed una posizione finanziaria netta positiva pari ad Euro 0,2 milioni.

L'Entreprise Value dell'Operazione è pari ad Euro 4,4 milioni oltre ad Earn-Out e la posizione finanziaria netta verrà calcolata alla data del closing. Nell'operazione sono previsti Earn-Out specifici su progetti esistenti e sui risultati dei prossimi due esercizi. Il pagamento delle quote avverrà per il 50% al closing ed il rimanente in due tranche, ciascuna del 25%, alla chiusura del bilancio di esercizio 2022 e 2023. Il finanziamento dell'acquisizione avviene mediante un utilizzo congiunto di mezzi propri e finanziamento bancario attualmente già disponibile nel Gruppo DBA.

Governance

Nel 2023 il Consiglio di Amministrazione di General Planning Srl sarà composto per la maggioranza da membri nominati da DBA PRO S.p.A. con Presidente l'Arch. Daniele De Bettin e l'Ing. Giuseppe Monti manterrà la carica di Amministratore Delegato della società, nel 2024 si prevede l'integrazione di General Planning Srl in DBA PRO. S.p.A. ed i Partner di General Planning Srl rimarranno nel management per una efficace integrazione della struttura operativa.

VILLORBA (Treviso), 7 December 2022 – DBA Group S.p.A., a company specializing in the provision of Consulting, Architecture, Engineering, Project Management and ICT solutions services focused on the management of the life cycle of mission-critical works and infrastructures announces that on today received the acceptance of the binding offer for the purchase of 100% of the shares of the architecture and engineering company General Planning S.r.l. based in Milan, Viale Liguria 24.

The proposal of the offer took place through the operating company DBA PRO. S.p.A., wholly owned by DBA Group S.p.A., following the Due Diligence operations and the approval of the offer by the BoD of DBA Group S.p.A., which met on 06 December 2022, and the closing of the transaction will take place on 21 December 2022.

The shareholders of General Planning Srl will remain active in the management of the company, under the coordination of DBA Group and DBA PRO. S.p.A.

Founded in 1970, General Planning Srl is an independent engineering, coordinated integral planning, project management and consultancy company with more than 50 years of experience in the implementation of relevant projects in the industrial and real estate sectors from the feasibility study up to the final tests of delivery of the works. Since its inception it has represented the trusted point of reference for important companies in the Swiss and German areas for their first investments in Italy for the construction of production sites and headquarters

The Know How of DBA PRO. S.p.A. and that of General Planning Srl are therefore in strong synergy and able to offer a high added value for the benefit of the customers. DBA PRO. S.p.A. has developed over time numerous important collaborations in the Real Estate field, recently acquired, for example, the contract for the renovation of the Rai headquarters in Viale Mazzini in Rome in collaboration with the Citterio Viel studio. The in-house experiences and the experiences of General Planning Srl create a wealth of important references at the service of the reference market.

Therefore, the acquisition is aimed at i) strengthening and completing the commercial offer of DBA in engineering and architecture services, ii) enhancing the services aimed at the Real State and healthcare market, which records important growth data in Italy , iii) integrate the know-how of General Planning Srl towards the DBA PRO customer portfolio. S.p.A. with specific needs on the design of industrial and pharmaceutical plants.

General Planning Srl in 2021 ranked 12th in the Guamari ranking of the Top 200 architecture companies in Italy. DBA Group in 2021 ranked 6th in the Guamari ranking of the Top 200 engineering companies in Italy. The combination of the two realities will allow an integrated offer of high level in the Italian and international scenario.

Key Financials of the acquisition

General Planning Srl in 2021 recorded a production value of Euro 8.6 million and an EBITDA of Euro 1.2 million. The net profit for 2021 amounted to Euro 0.7 million.

The shareholders' equity of General Planning Srl as at 31 December 2021 amounts to Euro 2.0 million and a positive net financial position of Euro 0.2 million.

The Enterprise Value of the Transaction is equal to Euro 4.4 million plus Earn-Out and the net financial position will be calculated on the closing date. The transaction provides for specific earn-outs on existing projects and on the results of the next two years. The payment of the shares will be 50% at the closing and the remainder in two tranches, each of 25%, at the closing of the 2022 and 2023 financial statements. The financing of the acquisition takes place through the joint use of equity and bank financing currently already available in the DBA Group.

Governance

In 2023 the Board of Directors of General Planning Srl will be composed for the majority of members appointed by DBA PRO S.p.A. with the President the Arch. Daniele De Bettin and Eng. Giuseppe Monti will maintain the position of Chief Executive Officer of the company, in 2024 the integration of General Planning Srl into DBA PRO is expected. S.p.A. and the Partners of General Planning Srl will remain in the management for an effective integration of the operational structure.
