DBA GROUP SPA ANNUNCIA IL PROGETTO DI FUSIONE PER INCORPORAZIONE DELLE SOCIETÀ DBA LAB S.P.A E ACTUAL ITALIA S.R.L. (INCORPORANDE) NELLA SOCIETÀ DBA PROGETTI S.P.A. (INCORPORANTE)

Villorba (Treviso), 24 luglio 2019 –DBA Group S.p.A., società di Ingegneria e ICT che ha come obiettivo l'erogazione di servizi di Ingegneria Intelligente a supporto della Gestione del Ciclo di Vita di Infrastrutture singole o a rete, comunica che le Assemble straordinarie delle società operative DBA Lab S.p.A.(socio unico), DBA Progetti S.p.A. (socio unico) e Actual Italia S.r.l. (socio unico) hanno approvato il progetto di fusione per incorporazione delle società DBA Lab S.p.A e Actual Italia S.r.l. (incorporande) nella società DBA Progetti S.p.A. (incorporante).

La società precisa che tale operazione di fusione per incorporazione concretizza in un'unico soggetto giuridico le specialità di Architettura, Ingegneria, PMO ed ICT dedicati al supporto del Ciclo di vita delle infrastrutture attraverso la modellazione del loro digital Twin.

Tale razionalizzazione non avrà effetti nel perimentro di consolidamento del Gruppo in quanto le società sono già interamente detenute, ma avrà l'effetto congiunto di ridurre i costi operativi ottimizzando le strutture di operations già presenti in entrambe le società e di razionalizzare la proposta commerciale, mantendendo in essere i brand DBA Progetti e DBA Lab e beneficiando di sinegie operative specialmente sui canali esteri.

"Come indicato dal mercato e da recenti operazioni di M&A come Capgemini/Altran, il nostro scopo è la semplificazione che darà vita ad un'unica società con scope of work più ampio e maggiormente densa di sinergie. Quest'azione ci permetterà, inoltre, di razionalizzare la struttura italiana e di ridurre i costi. Sarà possibile, così, conglobare le conoscenze e gli approcci alle commesse e ragionare nativamente sull'up grade dei modelli di digital Twin infrastrutturale, dei paradigmi delle Smart Infrastructure e delle Smart Land.".

DBA GROUP SPA ANNOUNCES THE MERGER BY INCORPORATION PROJECT OF DBA LAB S.P.A. AND ACTUAL ITALIA S.R.L. (INCORPORANDE) INTO THE COMPANY DBA PROGETTI S.P.A. (MERGING)

Villorba (Treviso), July, 24th 2019 – DBA Group S.p.A., an engineering and ICT company whose goal is to provide Intelligent Engineering services to support the management of the Single or Network Infrastructure Life Cycle, announces that the Extraordinary Shareholders' Meeting of the operating companies DBA Lab SpA (single shareholder), DBA Progetti SpA (single shareholder) and Actual Italia S.r.l.. (single shareholder) approved the merger by the incorporation project of the companies DBA Lab S.p.A and Actual Italia S.r.l. (incorporated) into the company DBA Progetti S.p.A. (incorporating).

The company specifies that this merger by incorporation project unifies into a single legal entity the divisions of Architecture, Engineering, PMO and ICT dedicated to the Life Cycle infrastructure support through their digital Twin model.

Such project will not have any effect on the Group consolidation perimeter as the companies are already wholly owned, but it will have the combined effect of reducing operating costs by optimizing the operations structures already present in both companies and rationalizing the commercial proposal, by maintaining the DBA Progetti and DBA Lab brands and benefit from the operational synergies especially on foreign markets.

"As indicated by the market and by recent M&A operations such as Capgemini/Altran, we aim to simplify our activities in a single company with a broader scope of work and greater density of synergies. This action will also allow us to rationalize the Italian structure reducing costs. In this way it will be possible to incorporate the project knowledge and approaches and to focus on the up-grade of infrastructural digital Twin models, Smart Infrastructure and Smart Land paradigms".
