NOTIFICATION ON AMENDMENTS TO THE ARTICLES OF ASSOCIATION AND ON THE TOTAL AMOUNT OF VOTING RIGHTS

(pursuant to article 85-bis, of Consob Regulation 11971 of 14 May 1999)

Sesto San Giovanni, May 8 th , 2017-In the following chart are shown the total circulating shares as well as the number of voting rights also exercisable as the result of a Shareholders' resolution on April 28th , 2017. It was resolved the split of n. 580,800,000 outstanding ordinary shares, with a nominal value of € 0.10 each into n. 1,161,600,000 newly issued ordinary shares, with a nominal value of € 0.05 each, having the same characteristics as the circulating ordinary shares, by granting n. 2 newly issued shares in replacement of each outstanding ordinary share. The current fully paid up share capital of € 58,080,000 remains unchanged.
