PROFIT WARNING

This announcement is made by Datronix Holdings Limited (the "Company", together with its subsidiaries, the "Group") pursuant to Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") and the Inside Information Provisions under Part XIVA of the Securities and Future Ordinance (Chapter 571 of the Laws of Hong Kong).

Based on the preliminary assessment of the internal unaudited management accounts of the Group, the board of directors (the "Board") of the Company wishes to inform its shareholders and potential investors that the Group is expected to incur a loss attributable to shareholders of the Company in excess of HK$20 million for the year ended 31 December 2025, as compared to a net loss of HK$51 million for the year ended 31 December 2024.

The factors attributed to the results were the weakened demand for the year 2025 and the fair value loss on revaluation for investment property. Despite the expected record of loss, the Group's financial situation remains solid and sound.

The information contained in this announcement is a preliminary assessment made by the management of the Company with reference to the information currently available including the unaudited management accounts of the Group. This announcement is not based on any figures or information that had been audited or reviewed by the Company's auditors. The audited financial statements of the Group for the year ended 31 December 2025 are expected to be announced in March 2026.
