DATRIX GROUP: FIRST MEETING OF THE NEW BOARD OF DIRECTORS
NEW EXPERTISE IN ESG, AI ACT COMPLIANCE, AND DATA PROTECTION TO ENSURE INCREASINGLY SUSTAINABLE AND TRANSPARENT AI APPLICATIONS.
Milan, May 20, 2024 – Datrix S.p.A. ("Datrix" or the "Company"), a leading company in the development of Augmented Analytics solutions and services based on Artificial Intelligence and Machine Learning models for data-driven business growth, listed on Euronext Growth Milan, announces that the Company's new Board of Directors held its first meeting today. In continuity with the Company's previous management structure, the Board confirmed Fabrizio Milano D'Aragona as Chairman of the Board of Directors, Mauro Arte as Chief Executive Officer, and Giuseppe Venezia as Executive Director. Additionally, the non-executive independent directors Massimiliano Magrini and Carolina Minio-Paluello were confirmed.
The new Board of Directors, which will remain in office until the approval of the 2026 financial statements, includes Milena Prisco and Edoardo Carlo Raffiotta as non-executive independent directors.
The inclusion of these two profiles demonstrates Datrix's commitment to making concrete choices aligned with its strategic mission: embracing the challenges of AI through an ethical, transparent, and sustainable approach to positively impact the productive and social fabric. Prisco and Raffiotta thus strengthen the Group's expertise in ESG, AI Act Compliance, and Data Protection, which are increasingly important in the development of AI-based applications.
MILENA PRISCO is a lawyer specialized in corporate and M&A, a partner and Head of ESG at Pavia e Ansaldo, with significant experience in legal assistance for M&A operations in both private equity and venture capital within the tech industry. She has extensive experience in implementing corporate governance structures and ESG sustainability policies for investors and companies. She is a speaker at seminars and conferences in Italy and abroad, a lecturer, and an author of publications mainly focused on M&A and sustainable finance. She is a member of the International Bar Association (IBA) and the advisory board of Fuori Quota.
EDOARDO CARLO RAFFIOTTA is a Professor at the University of Milan Bicocca, where he teaches Public Law and the Law of Innovation and Artificial Intelligence. He is a member of the Coordination Committee supporting Undersecretary of State Alessio Butti in updating AI utilization strategies. He is also a member of the Center for Public Law and Policy at the School of Law, Berkeley – University of California. His research focuses particularly on the legal aspects of artificial intelligence and cybersecurity. From 2021 to 2023, he served as legal advisor to the Data Protection Authority.
The Board of Directors also verified – pursuant to Article 6-bis of the Euronext Growth Milan Issuers' Regulations – the independence requirements, in accordance with the quantitative and qualitative criteria of significance for potentially relevant relationships for assessing the independence of directors approved on March 28, 2024, for directors Magrini, Minio-Paluello, Prisco, and Raffiotta, based on the declarations made by the parties and the information available to the Company.
