STATEMENT

of consent to the appointment as a member of the Supervisory Board of DataWalk S.A. with its registered office in Wroclaw (the "Company")

I, the undersigned: Ola R. Malm, born 29 May 1987, hereby declare that I consent to be nominated and appointed as a member of the Supervisory Board of the Company. At the same time, I hereby declare that I meet the requirements for candidates for the Company's Supervisory Board Members, including in particular:

• 1) I do meet the independence criteria specified in the Act of 11 May 2017 on statutory auditors, audit firms and public oversight (hereinafter: "the Act on statutory auditors");
• 2) I do not have any actual and material business relationship with a shareholder holding 5% or above of the total number of votes in the Company;
• 3) I have knowledge and expertise in accounting or auditing of financial statements, confirmed by:

I hold a B.A. degree in economics (Yale University, 2010) and an M.B.A. degree (Harvard Business School, 2016), the latter of which included courses in accounting. My professional experience in the asset management industry and has revolved to a large extent around the analysis of companies' financial statements and regulatory filings. I have not worked as an accountant or auditor.

• 4) I have knowledge and expertise in the industry in which the Company operates, which is confirmed by:

Through my career in the asset management industry, which has focused in part on firms operating within the software and media sectors, I have established a degree of familiarity with the operations and financial management of several listed enterprise software companies. I possess no formal training in electrical engineering or computer science.

• 6) nie ma po mojej stronie konfliktu interes6w przy petnieniu funkcji Cztonka Rady Nadzorczej Sp6tki, w szczeg61nosci poza przedsi~biorstwem Sp6tki nie wykonuj~ dziatalnosci, kt6ra bytaby w stosunku do niej konkurencyjna oraz nie uczestnicz~ w sp6tce konkurencyjnej jako wsp61nik sp6tki cywilnej, sp6tki osobowej, sp6tki kapitatowej ani nie uczestnicz~ w konkurencyjnej osobie prawnej jako cztonek jej organu;
• 7) do dnia uchylenia przepis6w o Rejestrze Dtuznik6w Niewyptacalnych prowadzonym na podstawie ustawy z dnia 20 sierpnia 1997 o Krajowym Rejestrze Sqdowym, tj. do dnia 1 grudnia 2021 r., nie bytem wpisany do ww. Rejestru;
• 8) zgodnie z warunkami, o kt6rych mowa w art. 18 ustawy z dnia 15 wrzesnia 2000 r. Kodeks sp6tek handlowych ( dalej: ,,ksh") mam petnct zdolnosc do czynnosci prawnych oraz nie podlegam zakazowi okreslonemu wart. 18 § 2 ksh, zgodnie z kt6rym nie moze bye
• 5) I meet the criteria of Article 76 sec. 1-3 of the Act on Statutory Auditors and I am aware of the criminal liability for submitting a false declaration;
• 6) there is no conflict of interest on my part when performing the function of a member of the Supervisory Board of the Company, in particular, outside the enterprise of the Company I do not perform any activity that would be competitive to the Company's operations and I do not participate in a competitive company as a partner in a civil law partnership, a commercial law partnership, or as a member of a body of capital company nor do I participate in any competitive legal entity as a member of its body;
• 7) until the date of repealing the provisions on the Register of Insolvent Debtors maintained pursuant to the Act of August 20, 1997 on the National Court Register, i.e. until December 1, 2021, I was not entered into the above-mentioned Registry;
• 8) in accordance with the conditions referred to in Article 18 of the Act of September 15, 2000, Code of Commercial Companies (hereinafter: "the Commercial Companies Code"), I have the full legal capacity and am not subject to the prohibition specified in Art. 18 §

In addition, I undertake to notify the Management Board of the Company in writing of ceasing to comply with the above-mentioned criteria during the term of office, immediately and no later than within 3 (three) days from the occurrence of the event causing such discontinuation or from becoming informed about it.
