Dear Sir/Ma’am,

Pursuant to Regulations 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), and in continuation to our letter dated August 01, 2024, we are pleased to inform you that, the Regional Director, Mumbai vide its order dated December 05, 2024 (received by the Company on December 06, 2024) has sanctioned the Scheme of Amalgamation between Diacritech Technologies Private Limited (a step-down subsidiary of the Company, referred to as the “Transferor Company”) with and into Lumina Datamatics Limited (a wholly-owned subsidiary of the Company, referred to as the “Transferee Company”) and their respective shareholders, under Sections 233 and other applicable provisions of the Companies Act, 2013 (“Scheme”).

The Appointed Date of the Scheme is April 01, 2024, and the Scheme will be made effective upon filing of certified copy of the order of Regional Director under Section 233 and other applicable provisions of the Act sanctioning the Scheme with the Registrar of Companies, Mumbai by the Transferor Company and Transferee Company.
