Dear Sir/Madam,

In terms of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations"), we wish to inform you that based on the recommendation of the Nomination and Remuneration Committee, the Board of Directors have passed a resolution today, i.e. September 10, 2020, approving appointment of Mrs. Asha Kanodia (DIN: 00008061) as an "Additional Director (Non Executive – Non Independent Director)" on the Board of Directors of the Company with effect from September 10, 2020 till the date of ensuing Annual General Meeting of the Company.

Further, this is to confirm that Mrs. Asha Kanodia is not debarred from holding the office of Director by virtue of any order of the Securities and Exchange Board of India (SEBI) or any other such authority.

Following the above mentioned appointment, the strength of the Board of Directors of the Company has increased to 8 (Eight) Directors, out of which 4 (Four) Directors are Independent Directors.

Disclosure required pursuant to Regulation 30 of the Listing Regulations read with Para A of Part A of Schedule III to the Listing Regulations read with the SEBI Circular having reference no. CIR/CFD/CMD/4/2015 dated September 9, 2015, with regard to change in Directors and Key Managerial Personnel is given herein under :

She has alsocompleted several part time courses while in Englandat the Stanhope Institute.Mrs.KanodiaisanInteriorDesigner.Shehasdesigned most of the Datamatics's Offices. She hasover 45 years of experience in Interior Designs.Mrs. Kanodia is also on the Board of AnemoneManagement Consultancy ServicesPrivate Limitedand partner in Datamatics Management Services LLPand India Realty Excellence Fund II LLP.
