Notice of General Meeting section 249D request

DataDot Technology Limited today received a request for Directors to call a General Meeting pursuant to section 249D of the Corporations Act.

The request was signed by a shareholder who holds more than 5% of the total number of DataDot shares on issue.

In summary, the resolutions that have been requested to be proposed at the General Meeting provide for:

• the removal of Stephe Wilks and Temogen Hield as directors (being two of the current three DataDot directors);

• the appointment of two replacement directors and one additional Director;

• an amendment to the company’s constitution so that the CEO of the company cannot hold the office of director of the company.

• an amendment to the company’s constitution so that shares issued under a Share Issue and Loan scheme do not have voting rights until the Share Loan is fully paid;

• the replacement board to assess and restructure the senior management of the company; and

• the replacement board to assess the strategic direction of the company and its business lines.

Subject to a legal review, DataDot will convene a General Meeting of shareholders to consider these resolutions.

A Notice of Meeting will be sent to all shareholders, with details of the meeting date and including information prepared by the requesting shareholder.

The DataDot directors will provide their voting recommendation in the Notice of Meeting.
