F2: Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock. These RSUs vest within one year from the date of issuance, subject to the Reporting Person being a member of the board of directors of the Issuer through such date. These restricted stock units do not expire, they either vest or are canceled prior to vesting date.
