FlorintreeCapital Partners LLP (“Florintree”), holding 10.71% of shareholding in theCompany.Pursuant to the Articles of Association of the Company, Florintree possessedthe right to appoint a Nominee Director to the Board as long as theymaintained ownership of not less than 7.5% of the Company's share capital.On February 16, 2024, Florintree divested their entire 10.71% shareholding inthe Company, thereby forfeiting their entitlement to appoint a NomineeDirector to the Board.The Board is of the opinion that Mr. Mathew Cyriac possess the skills,expertise and competencies fundamental for effective functioning in his roleas a Non-Executive Non-Independent Director of the Company and hiscontinued association would be of immense benefit to the Company.

He has beenthe recipient of IIMB Medal for securing first rank in his post-graduatediploma. He has about 23 years of experience in investment banking andprivate equity. He has previously been associated with Bank of America, DLJMerchant Banking Partners, Credit Suisse First Boston Corporation andBlackstone Advisors India Private Limited.
