Pa�erns (India) Limited (the “Company”) under the provisions of Chapter VI of Securi�es and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regula�ons, 2018, as amended (the “SEBI ICDR Regula�ons”), and Sec�ons 42 and 62 of the Companies Act, 2013, as amended, including the rules made thereunder (the “Issue”).

Further to our le�er dated March 8, 2023 in�ma�ng you about the mee�ng of the Fund Raising Commi�ee of the board of directors to be held on March 13, 2023 in respect of the Issue, we wish to inform you that the Fund Raising Commi�ee at its mee�ng held today, i.e. March 13, 2023 has, inter alia , passed the following resolu�ons:

• 1) Approved the closure of the issue period for the Issue today, i.e. March 13, 2023;

• 2) Determined and approved the issue price of ₹ 1,220.31 per Equity Share (including a premium of ₹ 1,218.31 per Equity Share), which takes into account a discount of 5 % (i.e. ₹ 64.22 per Equity Share) on the floor price of ₹ 1,284.53 per Equity Share determined as permi�ed under Regula�on 176(1) of the SEBI ICDR Regula�ons, for the Equity Shares to be allo�ed to the eligible qualified ins�tu�onal buyers in the Issue;

• 3) ins�tu�onal buyers, in�ma�ng them of alloca�on of Equity Shares pursuant to the Issue;

• 4) Approved and adopted the placement document dated March 13, 2023; and

• 5) Approving issuance of refund in�ma�on le�er to the bidders who are en�tled to receive the refund amount, if any.

The mee�ng of the Fund Raising Commi�ee commenced at 07:30 P.M. and concluded at 08:30 P.M. .
