• Sub: Data Pa�erns (India) Limited (the “Company”) under the provisions of Chapter VI of Securi�es and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regula�ons, 2018, as amended (the “SEBI ICDR Regula�ons”), and Sec�ons 42 and 62 of the Companies Act, 2013, as amended, including the rules made thereunder (the “Issue”).

• 1) We wish to inform you that pursuant to the approval accorded by the board of directors of the Company (the “ Board ”), at its mee�ng held on January 28, 2023 and the special resolu�on passed by the members of the Company on February 27, 2023, the Fund Raising Commi�ee of the Board has, at its mee�ng held today i.e. March 8, 2023, inter alia , passed resolu�ons for the following:

• a. Authorised and declared the opening of the Issue today, i.e., March 8, 2023;

• b. Approved and adopted the preliminary placement document dated March 8, 2023 and the applica�on form in connec�on with the Issue;

• c. In this rela�on we will file the preliminary placement document dated March 8, 2023 with your office on March 8, 2023.

• 2) We further wish to inform you that the ‘Relevant Date’ for the purpose of the Issue, in terms of Regula�on 171 of the SEBI ICDR Regula�ons, is March 8, 2023 and accordingly the floor price in respect of the aforesaid Issue, based on the pricing formula as prescribed under Regula�on 176(1) of the SEBI ICDR Regula�ons is ₹ 1,284.53 per Equity Share. Pursuant to Regula�on 176(1) of the SEBI ICDR Regula�ons, the Company may offer a discount of not more than 5% on the floor price so calculated for the Issue.

The mee�ng of the Fund Raising Commi�ee of the Board commenced at 08:45 P.M. and concluded at 09:15 P.M.. A cer�fied copy of the resolu�on passed by the Fund Raising Commi�ee authorizing the opening of the QIP and fixing the floor price and the relevant date is enclosed for your informa�on and records.

Further, in terms of Regula�ons 29(1) and 29(2) of the Securi�es and Exchange Board of India (Lis�ng Obliga�ons and Disclosure Requirements) Regula�ons, 2015, as amended (“ SEBI Lis�ng Regula�ons ”), we

wish to inform you that a mee�ng of the Fund Raising Commi�ee is scheduled to be held on March 13, 2023 to inter alia , consider and approve the issue price of Equity Shares to be issued pursuant to the QIP, including any discount, if any thereto as calculated and permi�ed in accordance with the SEBI ICDR Regula�ons.

Trading Window Closure : Further, as per Company’s Code of Conduct to regulate, monitor and report trading by Designated Persons (“Code of Conduct ”), the trading window for dealing in the securi�es of the Company had already been closed with effect from March 2, 2023 �ll further communica�on , for all ‘Designated Persons’ as defined in the Code.

1. Approval for Issue Opening

“ RESOLVED THAT pursuant to the resolu�on passed by the shareholders of the Company on February 27, 2023, under Sec�on 62 and other applicable provisions of the Companies Act, 2013, as amended, and the Securi�es and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regula�ons, 2018, as amended (the “ SEBI ICDR Regula�ons ”), the issue of equity shares of the Company of face value of ₹2 each (the “ Equity Shares ”) to eligible qualified ins�tu�onal buyers (“ QIBs ”) under Chapter VI of the SEBI ICDR Regula�ons and Sec�on 42 of the Companies Act, 2013, read with Rule 14 of the Companies (Prospectus and Allotment of Securi�es) Rules, 2014, each, as amended (the “ Issue ”) be opened today, i.e. March 8, 2023 for receiving bids in connec�on with the Issue and that the Fund Raising Commi�ee shall determine the Issue closing date and the price at which Equity Shares will be issued and allo�ed in the Issue (the “ Issue Price ”) at a mee�ng of this Fund Raising Commi�ee to be held on or a�er March 13, 2023, in accordance with Chapter VI of the SEBI ICDR Regula�ons.”

“ RESOLVED FURTHER THAT Ms. Rekha Murthy Rangarajan, Whole-�me Director and/or Ms. Manvi Bhasin, Company Secretary and Compliance Officer of the Company, be and are hereby severally authorised to cer�fy the true copy of these resolu�ons and forward the same to any person or authority for their record and necessary ac�on.

2. Determina�on of Relevant Date and Floor Price

“ RESOLVED THAT the relevant date, in terms of Regula�on 171(b)(i) of the SEBI ICDR Regula�ons, for determina�on of the floor price at which the Equity Shares shall be issued pursuant to the Issue shall be the date of this resolu�on, i.e., March 8, 2023.”
