Dear Shareholder,

I am writing to prompt you that the Dart Mining NL ( Dart ) Share Purchase Plan ( SPP ) is open for subscription until close of business on Thursday , 9 April 2009 . You will have received an application form from Dart’s share registry and, for your convenience, you may choose to subscribe through a BPay facility as explained on the SPP application form.

Under the SPP, each Dart shareholder in entitled to subscribe for up to $5,000 worth of Dart shares at 5cents per share. Your Board considers the offer is particularly attractive to smaller shareholders. For example, if a shareholder subscribed $5000 in Dart’s Initial Public Offering for 25,000 shares, a subscription now under the SPP of $5000 for 100,000 shares, will result in an average entry price for the 125,000 aggregate shareholding, of – 8cents, which is equal to recent market sales for Dart shares thus neutralising the decline in Dart’s share price which has occurred largely as a result of the globally weak share markets and global financial difficulties experienced over the last 6-9 months.

Dart intends to utilise the funds raised through the SPP to advance its exploration programs in North East Victoria. Exploration has reached a crucial stage at both the Mountain View gold project and the Unicorn molybdenum project, each of which exhibit encouraging prospectivity.

  • At Mountain View , Dart intends to drill test the extension of the high grade gold –

  • zone down plunge in the main lens (see ASX Announcement Gold Exploration Update , 12 March 2009);

  • At Unicorn , Dart intends to drill test the large geophysical anomaly below the already significant molybdenum mineralisation intersected in drilling last year (see ASX Announcement – Porphyry geophysical program identifies large conductors , 3 March 2009).

Again, I wish to thank all Dart shareholders for their continuing support. Your Directors intend to accept the offer made under the SPP and participate in the SPP. I encourage you to give Dart’s SPP offer your immediate attention.
