DARELLE ANNOUNCES FINANCIAL RESULTS

Vancouver, B.C.February 1, 2021Darelle Online Solutions Inc. (“ darelle ” and/or the “ Company ”) (TSXV: “DAR”) today released its interim financial and operational results for the three-month period ended November 30, 2020.

The full text of darelle’s first quarter financial results are contained in its unaudited condensed interim consolidated financial statements for the three-month period ended November 30, 2020 and the related management’s discussion and analysis, copies of which are available electronically on darelle’s profile on the System for Electronic Document Analysis and Retrieval (“ SEDAR ”) at www.sedar.com and also on darelle’s website at www.darelle.com

Quarterly Financial Results

  • The Company generated revenue of $26,602 during the period compared with $22,489 during the same three month period in 2020. Revenue is comprised of a set-up fee and a flat administration fee (“Processing Fees) per raffle ticket sold by organizations. The Company realized set-up fees of $10,500 with the remaining revenue ($16,102) in processing fees. Processing fees are recognized once the raffle draw is complete and/or the organization has sold all available tickets.

  • The Company reported a comprehensive loss of $87,177 (($0.00) per share) generated during the three month period ended November 30, 2020 compared to a comprehensive loss of $101,080 (($0.00) per share) during the same three month period in the 2020 fiscal year.

Transaction Update

On June 26, 2019, the Company announced it had entered into an arm’s length binding letter of intent (“LOI”) with North Star Holdings (“North Star”) in which the securityholders of North Star would acquire control of the Company (“Proposed Transaction”). Under the terms of the LOI, the Proposed Transaction was to be consummated on or before December 31, 2019. Subsequent to December 31, 2019, the Company signed a number of extensions to the LOI and on February 1, 2021, the Company signed an agreement extending the terms of the LOI until February 28, 2021.
