On February 13, 2017, Dana Incorporated (“Dana”) issued a press release announcing the execution of a definitive agreement by one of its subsidiaries to purchase the shaft, axle housing and related axle component business of U.S. Manufacturing Corporation conducted at its Warren, Michigan, United States facility.

A copy of Dana’s press release related to the closing is being furnished as Exhibit 99.1 to this report.
