Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On April 12, 2005, James M. Laisure elected to retire from his position as President – Automotive Systems Group of Dana Corporation (Dana) in order to pursue other opportunities. Dana’s Chairman and Chief Executive Officer, Michael J. Burns, has assumed operational responsibility for the Automotive Systems Group on an interim basis.
