The Scheme envisages Capital Reduction of the Transferee Company (as defined in the Scheme) and Amalgamation of the Transferor Company with the Transferee Company. The said Order has been registered by the Registrar of Companies, Mumbai on February 23, 2026. Pursuant to the said Order, the issued, subscribed and paidup Equity Share Capital of the Transferee Company stands reduced from **5,68,97,600** divided into **56,89,760** Equity Shares of 10 each fully paid-up to **5,34,44,550** divided into **53,44,455** Equity Shares of 10 each fully paid-up. The reduction will be effected by cancelling 3,45,305 Equity Shares of ` 10 each and returning capital to the concerned shareholders as approved by the Hon'ble Tribunal.
