Information on simplified reduction of share capital

Based on the decision of the Commercial Court in Zagreb, a simplified reduction of share capital and changes in the provisions of the Statute of the subject of registration registered under the name Dalekovod, joint-stock company for engineering, production, and construction, based in Zagreb, Ulica Marijana Čavića 4, was conducted and entered in the court register.

By the decision of the General Assembly from 30.06.2021. the Statute of October 10, 2019 was amended and supplemented in Article 7 (share capital and number of shares).

By the decision of the assembly of the company from 30.06.2021. the company's share capital was reduced regularly by withdrawing its own shares to enable (mathematical) merging of shares by the Decision on simplified reduction of the company's share capital, without payment to its shareholders of HRK 247,193,050.00. 00 HRK in the amount of HRK 247,193,000.00.

By the decision of the assembly of the company from 30.06.2021. the company's share capital was simply reduced from the amount of HRK 247,193,000.00 by the amount of HRK 244,721,070.00 to the amount of HRK 2,471,930.00.

The share capital was reduced to partially cover the losses incurred in previous periods until (inclusive) 31.12.2020. After all, reserves prescribed by Article 349, paragraph 2 of the Companies Act have been spent to cover the company's losses.

The SKDD will carry out the corporate action of reducing the share capital by merging shares in accordance with the SKDD acts. Before implementing corporate actions, the Company will publish a notice of the manner and exact time of implementing these corporate actions.
