Zagreb, 26 February 2014 – Dalekovod has obtained a certificate of legal effectiveness of the Resolution issued by the Commercial Court in Zagreb on 29 January 2014, permitting the entry into an Administrative settlement. Once the Resolution has become legally effective, the conditions precedent to the increase of the share capital according to the settlement have been met and Dalekovod d.d. invited its creditors to proceed to increase the share capital according to the invitation enclosed.

Re.: Invitation of creditors to enter into Agreement to Contribute Rights to the Share Capital

Dear Sirs,

This is to notify you that, upon entry into an Administrative settlement before the Commercial Court in Zagreb, case Stpn-365/2013, the share capital will be increased by converting creditors' claims against Dalekovod d.d. into equity (shares) for those creditors that are entitled to it according to the Financial Restructuring Plan and the Administrative settlement entered into.

Shares will be subscribed for by making a written statement of subscription and executing the Agreement to Contribute Rights to the Share Capital upon which the signatures will be notarized, and the entire process will take place in the premises of Dalekovod d.d. at Marijana Čavića 4, Žitnjak, Zagreb, from Monday, 24 February 2014 up to and including Friday, 28 February 2014, any day between 9 a.m. and 3 p.m.

Re.: Invitation to Konsolidator d.o.o. to subscribe for ordinary shares of Dalekovod d.d.

Dear Sirs,

This is to notify Konsolidator d.o.o., Nova Ves 11, Zagreb, PIN: 73678065415, that, upon entry into an Administrative settlement before the Commercial Court in Zagreb, case Stpn-365/2013, the share capital will be increased by issuing 15,000,000 new ordinary shares of Dalekovod d.d. (the "Shares") in the form of a cash contribution of HRK 15,000,000.00 made by Konsolidator d.o.o. This share capital increase to by Konsolidator d.o.o. will be made pursuant to the Resolution to Increase the Share Capital by Issuing Ordinary Shares and by Contributions in Cash and in Rights to the Exclusion of Other Shareholder's Preemptive Rights, made by the General Meeting of Dalekovod d.d., Ulica Marijana Čavića 4, Zagreb, PIN: 47911242222 on 22 July 2013 (the "Resolution").

Consequently, we hereby invite Konsolidator d.o.o. to subscribe for the Shares by making a written statement of subscription in the premises of Dalekovod d.d. at Marijana Čavića 4, Žitnjak, Zagreb, from Monday, 24 February 2014 up to and including Friday, 28 February 2014, any day between 9 a.m. and 3 p.m. The Shares subscribed for should be paid no later than Friday, 14 March 2014, during which period Konsolidator d.o.o. is required to pay the total amount for the Shares subscribed for according to the payment instruction to be provided to it by Dalekovod d.d. after the Shares have been subscribed for.
