JOINT ANNOUNCEMENT CHANGE OF COMPANY SECRETARY

The Boards of DSFH and DSBG announce that Ms. Soo Hoi Lun, Helen has resigned as the Company Secretary of DSFH and DSBG respectively with effect from 18 March 2013. The Boards of DSFH and DSBG are pleased to announce that Ms. Wong Wai Nar, Doris has been appointed as the Company Secretary of DSFH and DSBG respectively with retroactive effect from 18 March 2013.

The Board of Directors of each of Dah Sing Financial Holdings Limited (“DSFH”) and Dah Sing Banking Group Limited (“DSBG”) announces that Ms. Soo Hoi Lun, Helen (“Ms. Soo”) has resigned as the Company Secretary of DSFH and DSBG respectively with effect from 18 March 2013. Ms. Soo confirmed that she has no disagreement with the Board of each of DSFH and DSBG and there is no matter relating to her resignation that needs to be brought to the attention of the shareholders of each of DSFH and DSBG, and the Stock Exchange of Hong Kong Limited.

The Board of each of DSFH and DSBG is pleased to announce that Ms. Wong Wai Nar, Doris (“Ms. Wong”) has been appointed as the Company Secretary of DSFH and DSBG respectively with retroactive effect from 18 March 2013. Ms. Wong is a senior Chartered Secretary with over 25 years’ experience in the company secretarial profession. She brings with her solid expertise in company secretarial practice gained in working in Hong Kong and Mainland China, mainly in the banking sector. Ms. Wong is a Fellow member of the Institute of Chartered Secretaries and Administrators in United Kingdom and the Hong Kong Institute of Chartered Secretaries.

The Board of each of DSFH and DSBG would like to take this opportunity to express its gratitude to Ms. Soo for her dedication and contribution to DSFH and DSBG respectively during her tenure of service, and extends its welcome to Ms. Wong on her appointment.
