Result of General Meeting

Cyan Holdings plc (AIM:CYAN.L), the integrated system and software design company delivering mesh based flexible wireless solutions for utility metering and lighting control, is pleased to announce that at the Company's General Meeting held earlier today, all of the resolutions were duly passed, including the approval of the placing of 1,000,000,000 ordinary shares (the "Placing Shares") at 0.35p each to raise £3.5 million before expenses and the issue of warrants to subscribe for up to a further 500,000,000 ordinary shares at 0.6p per ordinary share. Following such approvals and save only for Admission (as defined below), the placing of 1,000,000,000 Placing Shares at 0.35p each, as announced on 25 July 2014, is now complete.

Application has been made for the Placing Shares to be admitted to trading on AIM ("Admission") and Admission is expected to become effective at 8.00 a.m. on 20 August 2014.

Following Admission the Company's issued share capital will be 4,456,248,637 ordinary shares of 0.01p each.  The Company does not hold any shares in treasury. This figure (4,456,248,637 ordinary shares) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
