Result of General Meeting

Cyan Holdings plc (AIM:CYAN.L), the integrated system and software design company delivering mesh based flexible wireless solutions for utility metering and lighting control, is pleased to announce that at the Company's General Meeting held earlier today, all of the resolutions were duly passed. Following such approvals and save only for Admission (as defined below), the placing of 733,333,333 Placing Shares at 0.15 pence each is now complete.

Full details of the Placing were set out in a circular sent to shareholders on 2 December 2013 (the "Circular"). Pursuant to the Placing, application has been made for the Placing Shares to be admitted to trading on AIM ("Admission") and Admission is expected to become effective at 8.00 a.m. on 20 December 2013.

Following Admission the Company's issued share capital will be 3,406,670,844 ordinary shares of 0.01p each. This figure (3,406,670,844 ordinary shares) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
