Result of General Meeting

Cyan Holdings plc (AIM:CYAN.L), the integrated system and software design company delivering mesh based flexible wireless solutions for utility metering and lighting control, is pleased to announce that at the Company's General Meeting held at 11.00 a.m. today, all of the resolutions were duly passed, including the approval of the placing and subscription of 2,060,000,000 ordinary shares (the "Placing and Subscription Shares") at 0.2p each to raise £4.1 million before expenses. Following such approvals and save only for Admission (as defined below), the placing and subscription of 2,060,000,000 Placing Shares at 0.2p each, as announced on 8 June 2015, is now complete.

Application has been made for the Placing and Subscription Shares to be admitted to trading on AIM ("Admission") and Admission is expected to become effective at 8.00 a.m. on 1 July 2015.

Following Admission the Company's issued share capital will be 6,535,873,628 ordinary shares of 0.01p each (excluding the proposed issue of a further 245,000,000 ordinary shares to be approved at a further general meeting at 11.30 a.m. today).  The Company does not hold any shares in treasury. This figure (6,535,873,628 ordinary shares) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
