Result of Annual General Meeting

Cyan Holdings plc (AIM:CYAN.L), the integrated system and software design company delivering mesh based flexible wireless solutions for utility metering and lighting control, is pleased to announce that at the Company's General Meeting held earlier today all of the resolutions were duly passed, including the approval of warrants relating to the placings as announced in April 2013. These warrants allow warrant holders to subscribe for up to a further 74,444,444 Ordinary Shares at 0.65 pence per ordinary share (Placing Warrants) and other warrant holders to subscribe for up to a further 10,000,000 Ordinary Shares at 0.63 pence per ordinary share (Corporate Finance Warrants). These warrants have an exercise period of six months from date of approval (being 27th June 2013) and it is anticipated that warrant holders should receive their certificates within a week following today's AGM.
