THE BOARD OF DIRECTORS OF CY4GATE GIVES DELEGATES AND APPOINTES THE MEMBERS OF THE BOARD COMMITTEE

Rome, April 30, 2026 - The Board of Directors of CY4GATE (CY4.MI) , a leading national and European player in cybersecurity and cyber intelligence, met today to pass some governance resolutions, also pursuant to applicable legislation and the Corporate Governance Code for listed companies (the " Code ").

In particular, today's Board confirmed Mr. Emanuele Galtieri as Chief Executive Officer guaranteeing full continuity in the management of the business and reaffirming all executive powers in his favor.

Mr. Emanuele Galtieri was confirmed as Director in charge of the internal control and risk management system in compliance with the recommendations of the Code.

The Board of Directors has also granted operational powers to Executive Chairman Enrico Peruzzi, in line with those granted to him during his previous proxy.

Based on the available information and the statements made by the directors, the Board has also evaluated that all the Directors have the integrity requirements, that causes for their ineligibility and incompatibility do not exist as required by current law and the existence of the requirements of independence, pursuant to the current law and the Code, with regard to the independent directors Roberta Berlinghieri, Alessandra Bucci e Maria Giovanna Calloni, appointing the latter Lead Independent Director.

The Board of Directors also appointed the following internal board committees, deciding on the following composition of the internal board committees:

Control, Risks and Sustainability Committee:

• Alessandra Bucci, as Chairman;

• Maria Giovanna Calloni;

• Alessandro Chimenton.

Appointments and Remuneration Committee:

• Maria Giovanna Calloni, as Chairman;

• Roberta Berlinghieri;

• Alessandra Bucci.

Related Party Transactions Committee:

• Roberta Berlinghieri, as Chairman;

• Maria Giovanna Calloni;

• Alessandra Bucci.
