(the "Issuer") are held by an investment fund (the "Fund") managed by Cubist Systematic Strategies, LLC ("Cubist"). Pursuant to an investment management agreement, Cubist maintains investment and voting power with respect to the securities held by the Fund. Steven A. Cohen ("Mr. Cohen") controls Cubist. As a result of these aforementioned relationships, each of Cubist and Mr. Cohen may be deemed to share beneficial ownership over the shares of Common Stock held by the Fund.
