Additional Explanations

Şirketimiz Yönetim Kurulu şirket merkezinde toplanarak aşağıdaki kararı almıştır.

1- Sermaye Piyasası Kurulu'nun (II-14.1) sayılı Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği hükümlerine uygun olarak hazırlanan ve Yeditepe Bağımsız Denetim ve Yeminli Mali Müşavirlik A.Ş. tarafından denetlenen 01.01.2023-31.12.2023 hesap dönemine ait konsolide finansal tablolarımızda 378.713.603 TL net dönem kârı, konsolide olmayan V.U.K. hükümlerine göre düzenlenmiş yasal kayıtlarımızda ise 1.014.071.261,34 TL net dönem kârı mevcuttur.

2- Bu çerçevede; 2023 yılı net dağıtılabilir kârının hesaplanmasında Türk Ticaret Kanunu, Sermaye Piyasası Mevzuatı ve ilgili mevzuat hükümleri, esas sözleşmemizin kâr dağıtımına ilişkin 14. Maddesi ve kamuya açıklanan Kâr Dağıtım Politikamız dikkate alınarak; II-14.1 Tebliği'ne uygun olarak ve Türkiye Muhasebe Standartları esas alınarak hazırlanan bağımsız denetimden geçmiş konsolide finansal tablolarımızda yer alan 378.713.603 TL tutarındaki net dönem karından 3.750.000 TL tutarındaki genel kanuni yedek akçenin çıkartılması ve 4.391.667 TL tutarındaki yıl içinde yapılan bağışların eklenmesi suretiyle bulunan 379.355.270 TL tutarındaki bağışlar eklenmiş net dağıtılabilir dönem karı ekteki kar dağıtım tablosunda yer alan şekilde nakit olarak 29.08.2024 tarihinde dağıtılmasına, kar payı avansının dağıtılmamasına, işbu kararın KAP'ta kar dağıtım tablosu ile birlikte kamuya duyurulmasına ve kar dağıtımının Şirketimizin 2023 yılı Olağan Genel Kurul Toplantısı'nda pay sahiplerinin onayına sunulmasına,

Oy birliği ile karar verilmiştir.
