Exercise of Options, Director/PDMR and PCA Dealing and Total Voting Rights

CVS, the UK's leading provider of veterinary services, announces that on 23 March 2018 Nick Perrin, Finance Director, together with certain other employees of the Company exercised options at 296 pence per share over an aggregate of 6,080 ordinary shares of 0.2 pence each in the Company (the "SAYE Shares") ("Ordinary Shares") in connection with the Company's December 2014 - December 2017 (January 2018 Maturity) Save As You Earn Scheme.

Nick Perrin, exercised options over 3,040 Ordinary Shares, subsequent to which on 27 March 2018, the Company was notified that on 23 March 2018, Mr Perrin transferred 1,590 Ordinary Shares to his wife, Julia Therese Perrin, a Person Closely Associated ("PCA") of Mr Perrin.

As a result, Mr Perrin's total interest in the Company, including his wife's holding, has increased to 63,040 Ordinary Shares, representing 0.09% of the total voting rights of the Company.

The SAYE Shares rank pari passu with all existing Ordinary Shares. The issue of the SAYE Shares took place on 28 March 2018 has been satisfied via the Company's block listing which was announced on 19 December 2017.

Following issue of the SAYE Shares, the Company's total issued share capital will consist of 70,314,806 Ordinary Shares with one voting right per share. The Company does not hold any Ordinary Shares in Treasury. Therefore, following the issue of the SAYE Shares, the total number of voting rights in the Company is 70,314,806. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
